1. Definitions
In these Terms and Conditions, the following terms have the meanings given below:
- "Agreement" means these Terms and Conditions together with any engagement letter or written scope confirmation.
- "We", "Us", "Our" refers to Jalan Advisory, a legal advisory practice registered in Singapore.
- "You", "User", "Client" refers to the individual or company accessing our website or engaging our services.
- "Services" refers to the commercial contract drafting, contract review, and digital policy preparation services described on our website.
- "Content" refers to all text, materials, documents, and information published on our website.
- "Deliverables" refers to documents, marked-up contracts, and memoranda produced by us for clients in the course of a service engagement.

2. Acceptance of Terms
By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or engage our services.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of a company, you confirm that you are authorised to bind that company to these terms.
3. Service Description
Jalan Advisory provides focused commercial legal documentation services in Singapore, including:
- Commercial contract drafting for businesses entering new commercial relationships
- Contract review and risk assessment for agreements received from counterparties
- Terms of service and digital policy preparation for websites and digital platforms
Our services are available to businesses and individuals in Singapore. We do not provide services under foreign jurisdictions. Our services constitute documentation advisory work and do not constitute legal advice under the Legal Profession Act (Cap. 161).
4. Engagement and Scope
Each engagement is governed by a written scope confirmation agreed between Jalan Advisory and the client prior to commencement. No work begins until scope has been confirmed.
Any changes to the agreed scope during an engagement will be discussed with the client before any additional work is undertaken. Additional fees, if applicable, will be agreed in writing prior to the expanded work commencing.
5. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and complete information in connection with your enquiry or engagement
- Use the site and services for lawful purposes only
- Not reproduce, distribute, or republish our website content without written permission
- Not attempt to gain unauthorised access to any part of the site or our systems
- Not submit false or misleading information via our contact form
6. Intellectual Property
All content on the Jalan Advisory website — including text, design, layout, and structure — is owned by or licensed to Jalan Advisory. Nothing on the site grants any licence to reproduce or use our intellectual property without prior written consent.
Deliverables produced by Jalan Advisory for a client in the course of a paid engagement become the client's property upon full payment of the applicable fee. Jalan Advisory retains no ongoing rights in client-specific deliverables following payment.
Our internal methodologies, drafting frameworks, and standard clause libraries remain the intellectual property of Jalan Advisory at all times.
7. Payment Terms
Service fees are as published on our website and confirmed in the engagement scope letter. All fees are quoted in Singapore Dollars (SGD) and exclusive of applicable Goods and Services Tax (GST) where applicable.
Payment is due prior to or upon delivery of deliverables, as agreed in the engagement scope. We accept payment by bank transfer and major credit/debit cards. Work will not commence until payment terms have been agreed in writing.
Refunds are not available once work has commenced on a paid engagement, except at our discretion where we have failed to deliver the agreed scope.
8. Disclaimers
The information on our website is provided for general informational purposes only and does not constitute legal advice. Engagement of our services does not create a solicitor-client relationship under the Legal Profession Act.
While we take care to produce accurate and useful documentation, we make no representation that our deliverables will be suitable for every circumstance or that they will prevent disputes from arising. Clients are responsible for their decisions regarding their commercial relationships.
Our website is provided "as is" without warranties of any kind, including but not limited to accuracy, fitness for a particular purpose, or uninterrupted availability.
9. Limitation of Liability
To the extent permitted by Singapore law, Jalan Advisory's total liability to a client arising from or in connection with a service engagement shall not exceed the total fees paid by that client for the specific engagement giving rise to the claim.
We shall not be liable for:
- Indirect, consequential, or incidental losses
- Loss of profits or business opportunities
- Losses arising from a client's reliance on deliverables contrary to our advice or outside the agreed scope
- Losses arising from information provided to us that was inaccurate or incomplete
10. Confidentiality
We treat all client materials and information as confidential. We will not disclose engagement-specific information to third parties without prior written consent, except as required by law. This obligation survives the conclusion of any engagement.
11. Termination
Either party may terminate an engagement by written notice if the other party materially breaches these terms and fails to remedy the breach within 10 business days of written notice. We reserve the right to discontinue access to our website or services for users who breach these Terms.
Upon termination of an engagement, any work completed up to the termination date may be invoiced at a proportionate rate unless otherwise agreed.
12. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Singapore. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days.
If the dispute is not resolved through negotiation, it shall be referred to the Singapore Mediation Centre for mediation before any court proceedings are commenced. The courts of Singapore shall have exclusive jurisdiction over any dispute that cannot be resolved by mediation.
13. General Provisions
Entire Agreement: These Terms, together with any engagement scope letter, constitute the entire agreement between us and supersede all prior arrangements.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that right.
Changes to Terms: We may update these Terms from time to time. Continued use of our website or services after a change constitutes acceptance of the updated terms. The effective date at the top of this page indicates when the current version took effect.
